Please read these terms and conditions (the “TnCs”) carefully.

These TnCs govern the use and access of their website (“Platform”) belonging to Krisumi Corporation Private Limited (the “Company”) by the User
(defined below).

The User is cautioned and advised not to rely upon any information stated on any other Platforms which may appear to be similar to the Platform. The information contained anywhere except for the Platform may be misleading/false and the User may suffer loss due to such false / misleading information. In the event where the User come across any such platform similar to that of the Company’s Platform, containing its brand name/logo or any other information, the User may contact the Company on [email protected] in order to enable the Company to take necessary actions

The TnCs are in terms with the Information Technology Act, 2000 and rules thereunder, as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures

The TnCs have been published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines) Rules, 2011, that requires publishing of rules and regulations, Privacy Policy etc for access or usage of the Platform.

1. Definitions:
   1. Unless otherwise expressly defined, the following terms shall have the following meanings:
      “Platform” shall mean the website of the Company for providing services to the User;
      “Company” shall mean Krisumi Corporation Limited;
      “Services” shall mean the booking services and other related information provided on the Platform with respect to the residential / commercial projects
      undertaken by the Company;
      “TnCs” shall mean these terms and conditions mentioned herein;
      “User” shall mean users of the Platform for the purpose of availing the Services offered by the Company;
      In case of capitalized terms used here and not defined herein (if any), the same shall have the meaning ascribed to such terms under the Privacy Policy.
2. Terms of Use
   (i)These Terms and Conditions (together with the documents referred to in them) set out the terms on which the User may make use of the Platform, either as a guest or a as registered User.(ii)  Use of the Platform shall include accessing, browsing or registering to use the Services provided by the Company.(iii) By proceeding to view the Platform or any part of it, the User acknowledges to have read, understood and accepted these terms which shall constitute the entire binding agreement between the User and the Company.(iv) If the User do not agree to all of these TnCs, the User shall not be permitted to access or use the Platform, and in such case the User should not proceed further.(v) These terms may be varied by the Company from time to time and the revised terms will be deemed to apply at the relevant time in respect of the registration and usage of the Platform by the User. The User are requested to check the TnCs from time to time in order to take notice of any changes the Company shall make. The User shall be bound by any change herein.(vi) The User are requested to read the TnCs carefully before starting the use of the Platform, as these shall apply to the usage of the Company’s Platform.(vii) If the User do not agree to all of these TnCs, the User shall not be permitted to access or use the Platform, and in such case the User should not proceed further.
3. Accuracy of Information provided by the Company
   The User understand and confirms the following with respect to the information provided on the Platform:
   (i) The specifications and amenities mentioned and described on the Company’s Platform are only representational and informative in nature.(ii) The User confirms that the information including images and visuals, drawing plans or sketches and other marketing collaterals on the Platform are only an architect’s impression and are only indicative of the envisaged developments. The said information on the Platform shall be subject to approvals from local authorities and that the User has not relied on this information for making any booking / purchase in any project of the Company.(iii) Nothing on the Platform constitutes advertising, marketing, booking, selling or an offer for sale, or invitation to purchase a unit in any project by the Company.(iv) The Company shall not be liable for any consequence of any action taken by the User relying on any material/ information reflected / mentioned on the Platform.(v) The artistic work contained / reflected on the Platform like shall have the following implication:
   a. 360-degree view, walkthrough, e-brochures and other similar material are only for representational purposes only and do not form a part of any agreement or legal binding on part of the Company.
   b. The views shown in the artistic work on the Platform shall not be considered a part of the actual deliverables to the User.
   c. Soft furnishing/furniture, gadgets, interior designing used in the flat/unit plan and images shown on the Platform shall be only for representation purposes.(vi) The picture of the proposed residential flat / unit and all furniture, fixtures, items, electronic goods, amenities, landscaping, accessories etc. specified therein are only for the purpose of showcasing the a sample or an idea of the residential flat/unit and the Company shall not liable / required to provide any furniture, items, electronic goods amenities, accessories etc. as displayed in such pictures. The extent / number / variety of the equipment/appliances and their brand thereof in the proposed residential flat / unit is tentative and liable to change at sole discretion of the Company at the time of actual delivery of the residential flat / unit. The applicant/allottee or any person shall not
   have any right to raise objection in this regard.(vii) Actual product / development and any other aspect with respect to the residential flat / unit may differ from what is portrayed on the Platform.

   (viii) All layouts, plans, specifications, dimensions, designs, measurements and locations, mentioned on the Platform, with respect to the residential flat / unit or the projects of the Company are indicative and not to scale and are subject to change as may be decided by the Company or the competent authority.

   (ix) The Company reserves the right to make additions, deletions, alterations, amendments, revisions, modifications, substitutions or recasts to the residential flat / unit or in the projects of the Company, as and when it deems fit and proper, without any prior notice to the User. The images reflected on the Platform to the User. The images reflected on the Platform to the User. The images reflected on the Platform to the User. The images reflected on the Platform to the User. The images reflected on the Platform shall not considered as a final layout of the residential flat / unit, the same shall be subject to the above said additions or deletions. To further clarify, the images reflected on the Platform shall only be considered as a reference.

   (x) The Company makes no representation or warranty or intends to take an undertaking with respect to the accuracy or completeness of information on the Platform.

   (xi) No commitments are being given by the Company through its Platform as to its suitability or adequacy for any purpose or otherwise howsoever.

   (xii) The relationship between the Company and the User shall be governed strictly by the agreements to be executed from time to time and not on the terms of the Platform.

   (xiii) All details and prices quoted on the Platform by the Company are indicative and have been calculated on basic rate.

   (xiv) In no event shall the Company and its related, affiliated and subsidiary companies be liable for any direct, indirect, special, incidental, or consequential loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising out of the reliance on or use of the information contained under these TnCs.

4. Intellectual Property Rights
   (i) Graphic images, buttons, layout, and text contained in the Platform are the exclusive property of the Company and/or its affiliates and may not be distributed, copied, reproduced, imitated, displayed on the internet in readable text or embedded in hidden text (meta tags), or used in any other fashion, in whole or in part, without the express written consent of the Company and/or its affiliates.
   (ii) The Company grants permission to the User to print copies of these TnCs and to display and use the TnCs with a computer solely for personal use.
   (iii) The User shall be protected by the Indian and international intellectual property laws, including copyright and trademark laws from copying, imitating or using the content, intellectual property or the layout of the Platform without the express prior written permission of the Company. The User shall not make any copies of the whole or part of the Company’s content, intellectual property or the Platform.
   (iv) The User acknowledges and accepts that all of the copyright, database rights and any other intellectual property rights which subsist in the design, layout, processes, functions, data and content of the Platform are the property of the Company or the licensors, information providers or contributors and the Company reserves all the rights in the same.(v) The User shall not use any metatags or any other ‘hidden text’ utilizing the Company’s name or any other name, trademark or product name of the Company without the Company’s permission.(vi) No part of the Platform, its content or any of its underlying software and databases shall be copied or reproduced, shared with third parties, reverse engineered, reverse assembled, or used to create any derivative work (whether in physical or electronic form) without the Company’s prior written consent.
   (vii) The Company shall not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to the use of the Platform or to the downloading of any content on it, or on any website linked to it.
5. Hyperlinks:
   The Company does not guarantee that the hyperlinks set out on the Platform shall be accurate at the time of its access by the User. Moreover, the sites pointed at by hyperlinks are developed and possibly maintained by person(s) over whom the Company has no control. The Company cannot and does not monitor the sites linked to its pages on the internet. Accordingly, the Company assumes no responsibility for the content of any site referenced to by any
   hyperlink or otherwise.
6. Data Protection
   (i) The User and the Company mutually acknowledge their respective responsibilities to comply with the applicable provisions of applicable data protection laws.(ii) The information shared by the User for using and registering on the Platform, shall be treated as the User’s information, which shall be used by the Company in the manner specified under the Company’s Privacy Policy (linked here). The User confirms to have read, understood and accepted the Company’s Privacy Policy.(iii) The Company is not obligated to monitor any transmission of User’s information made through the internet pages and news groups. However, the Company has the right, but not the obligation, to monitor any transmission of User’s information made to and for the Platform. The Company may use or disclose information gathered from the Platform.
7. Entire Agreement
   (i) These TnCs, Privacy Policy and any policies or operating rules posted by the Company on the Platform or in respect to the Services provided by the Company shall constitute the entire agreement and understanding between the User and the Company and shall govern the use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between the User and the Company (including, but not limited to, any prior versions of the TnCs and the Privacy Policy).(ii) The failure of the Company to exercise or enforce any right or provision of TnCs shall not constitute a waiver of such right or provision.(iii) Any ambiguities in the interpretation of these TnCs and the Privacy Policy shall not be construed against the Company.
8. Liability
   (i) In no event shall the Company, its officers, directors, agents, affiliates, employees, advertisers, or data providers be liable for any indirect, special, incidental, consequential or punitive damages (including but not limited to loss of use, loss of profits, or loss of data) whether in an action in contract, tort (including but not limited to negligence), equity or otherwise, arising out of or in any way connected with the use of the Platform, or the Platform’s layout or the Services provided thereon.
   (ii) The Company takes no responsibility / liability whatsoever for shortage or non-fulfilment of any service availed by the User on the Platform due to or arising out of technical failure or / and malfunctioning or / and otherwise; and the User hereby undertakes that in such situation(s), the User shall not claim any right / damages / relief, etc. against the Company (whether alleging ‘deficiency of service’ under the consumer protection law or otherwise).
   (iii) The Company shall not be responsible for any malfunctioning or non-functioning of the User’s device or any other application, and or any damage, loss, either direct or indirect arising out of the use of the Platform on the User’s device.
   (iv) In no event shall the Company be liable for any loss of profits (anticipated or real), loss of business, loss of reputation, loss of data, loss of goodwill, any business interruption or any direct, indirect, special, incidental, consequential, punitive, tort or other damages, however caused, whether or not we have been advised of the possibility of such damages.(v) The aggregate liability of the Company towards the User or anyone, whether in contract, tort, negligence or otherwise, howsoever arising, whether in connection with these TnCs, User’s access and use of the Platform, its contents and functionalities or for any reason related to the operation of the Platform, shall not exceed Rs. ______________.
9. Severability
   In the event that any provision of these TnCs is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these TnCs, and such determination shall not affect the validity and enforceability of any other remaining provisions.
10. Indemnification
    The User hereby agrees to release, indemnify, defend and hold the Company (and any of its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns), harmless and indemnifies from all liabilities, harm, claims, damages, costs and expenses (including reasonable attorneys’ fees and expenses), relating to or arising out of:
    (i) these TnCs; or
    (ii) the information provided on the Platform; or
    (iii) any intellectual property or other proprietary right of any person or entity; or
    (iv) any other ground the Company deems relevant.
11. Applicable Law and Jurisdiction
    Use of the Platform and any purchases made from www.kriusmi.com shall be governed by and construed in accordance with the laws of India. The User agree that any legal action or proceeding between them and the Company shall be brought exclusively in court of the competent jurisdiction sitting in Gurugram, Haryana.
12. Dispute Resolution
    Unless the User has entered into an additional agreement with the Company that provides for an alternative dispute resolution mechanism, the User agrees that any dispute arising between the User and the Company which cannot be resolved amicably, shall be conclusively resolved by a sole arbitrator. The Arbitration shall be conducted as per the Arbitration rules laid down under the Arbitration and Conciliation Act, 1996, and any modification / amendment effected thereafter from time to time. The arbitration shall be conducted in English language and the award passed by the Arbitrator shall be final and binding on both parties. The cost of arbitration shall be borne by the User.
13. Force Majeure:
    The Company will not be deemed to be in default hereunder or be held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labour strike, lockout, or boycott.
14. Cessation of Operation:
    The Company may at any time, at its sole discretion and without advance notice to the User, cease its operation on the Platform.
15. Access:
    The Company does not make any claim that the Platform and its contents may be lawfully viewed or accessed in the jurisdiction where the User is viewing it in. The User is solely responsible for complying with the laws applicable to it.
16. Modification:
    The Company reserves the right to change or modify these TnCs, or any policy or guideline on the Platform, at any time and in its sole discretion. Any changes or modifications will be effective immediately upon being posted on the Platform. The User waives any right to receive specific notice of such changes or modifications. The User’s continued use of the Platform, following the posting of changes or modifications, shall confirm the User’s acceptance of such changes or modifications.
17. Termination:
    The Company reserves the right to terminate the User’s access to the Platform if it reasonably believes, in its sole discretion, that the User has breached any of the TnCs. Following termination, the User will not be permitted to use the Platform. If the access to the Platform is terminated, the Company reserves the right to exercise whatever means it deems necessary to prevent the unauthorized access of the Platform.
18. No Waiver:
    The Company’s failure to exercise or enforce any right or provision of the TnCs shall not be deemed to be a waiver of such right or provision.
19. Assignment:
    The User may not assign or otherwise transfer its rights or obligations under these TnCs. The Company may assign its rights and duties under these TnCs, without any such assignment being considered a change to the TnCs and without any notice to the User.
20. Notice
    Any notices or other communications that the User may wish to send to the Company shall be addressed to the registered office mentioned on the Company’s Platform.
